    Welcome to QuotesFlow.io.

    These Terms of Service govern your access to and use of QuotesFlow, including our website, software, tools, features, and related services. By creating an account, accessing the platform, starting a trial, or using QuotesFlow, you agree to these Terms.

    If you do not agree with these Terms, you must not use QuotesFlow.

    1. About QuotesFlow

    QuotesFlow is a software platform designed to help product-based businesses manage supplier pricing workflows. The platform may help users request supplier prices, track supplier responses, compare costs, manage supplier contacts, organize RFQs, and support the preparation of customer quotes.

    QuotesFlow is intended for business use. It is not designed for personal, household, consumer, legal, financial, tax, or accounting advice.

    2. Who We Are

    QuotesFlow is operated by EMJOMA, located in 840, 25e avenue, Montreal, QC H8S 3Y1, Canada.

    In these Terms:

    • “QuotesFlow,” “we,” “our,” or “us” means the company operating QuotesFlow.io.
    • “Customer,” “you,” or “your” means the person or organization using QuotesFlow.
    • “User” means any individual authorized by a Customer to access the platform.
    • “Customer Data” means information, files, supplier details, pricing data, contacts, quote information, notes, or other content submitted to QuotesFlow by you or your Users.

    3. Account Registration

    To use certain features of QuotesFlow, you may need to create an account.

    You agree to provide accurate and complete information and to keep your account information up to date. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account.

    You must notify us promptly if you believe your account has been accessed without authorization.

    4. Authorized Users

    If you use QuotesFlow on behalf of a company or other organization, you confirm that you have authority to accept these Terms on behalf of that organization.

    You are responsible for ensuring that all Users under your account comply with these Terms.

    5. Acceptable Use

    You agree not to use QuotesFlow to:

    • violate any applicable law or regulation;
    • upload illegal, harmful, misleading, or infringing content;
    • interfere with the security, performance, or integrity of the platform;
    • attempt to gain unauthorized access to QuotesFlow, other accounts, systems, or networks;
    • reverse engineer, copy, scrape, resell, or misuse the platform;
    • use QuotesFlow to send spam or unauthorized communications;
    • upload viruses, malware, or harmful code;
    • use the platform in a way that could damage QuotesFlow, its users, or third parties.

    We may suspend or terminate access if we reasonably believe your use violates these Terms or creates risk for QuotesFlow, other users, or third parties.

    6. Customer Data

    You retain ownership of your Customer Data.

    By using QuotesFlow, you grant us the limited right to host, process, transmit, display, back up, and use Customer Data as necessary to provide, secure, maintain, and improve the service.

    You are responsible for the accuracy, legality, and quality of the Customer Data you submit to QuotesFlow.

    You should not upload highly sensitive information unless it is necessary for your business use of the platform and you are authorized to do so.

    7. Supplier and Pricing Information

    QuotesFlow helps organize supplier pricing information, RFQs, contacts, quote inputs, and related communications. However, you remain responsible for verifying all supplier pricing, availability, taxes, shipping, margins, customer quotes, and commercial terms before sending quotes or making business decisions.

    QuotesFlow does not guarantee that supplier prices, lead times, availability, margins, or quote calculations will be accurate, complete, or current.

    8. AI, Automation, and Recommendations

    QuotesFlow may include automation, AI-assisted features, templates, summaries, suggested workflows, or other smart features.

    These features are provided to improve productivity, but outputs may be incomplete, inaccurate, or unsuitable for your specific situation. You are responsible for reviewing and validating any AI-generated, automated, or suggested output before relying on it.

    QuotesFlow does not replace human judgment, supplier confirmation, financial review, legal review, or commercial approval.

    9. Subscription Plans, Fees, and Payment

    Some features of QuotesFlow may require a paid subscription.

    Fees, billing frequency, plan limits, and included features will be shown on our website, in your account, or in an order form at the time of purchase.

    Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record (MoR) for all our orders. Paddle handles all checkout, payment processing, billing, sales tax and VAT compliance, invoicing, subscription management, customer service inquiries related to payments, and returns and refunds on our behalf.

    By purchasing a QuotesFlow subscription, you also agree to Paddle's Checkout Buyer Terms.

    You agree to pay all applicable fees, taxes, and charges associated with your subscription. Payment terms, billing frequency, and tax handling are governed by Paddle's Buyer Terms.

    10. Free Trials and Promotions

    QuotesFlow may offer free trials, beta access, lifetime deals, promotional pricing, or limited-time offers.

    We may change, extend, cancel, or limit trials and promotions at our discretion. At the end of a free trial, access may be limited or suspended unless you subscribe to a paid plan.

    Promotional offers may be subject to additional terms.

    11. Renewals, Cancellations, and Refunds

    Subscriptions may renew automatically unless cancelled before the renewal date.

    You may cancel your subscription at any time according to the process provided in your account or by contacting us. Cancelling stops future renewals.

    We offer a 30-day money-back guarantee on QuotesFlow subscriptions. Refunds are processed by Paddle as our Merchant of Record. To request a refund, visit paddle.net or contact us at hello@quotesflow.io. Full details are available in our Refund Policy.

    Refunds outside the 30-day window are handled in accordance with Paddle's Refund Policy and applicable consumer protection laws.

    12. Taxes

    Fees do not include applicable taxes unless clearly stated otherwise. You are responsible for any sales tax, GST/HST, QST, VAT, or similar taxes that apply to your purchase.

    13. Service Availability

    We aim to provide a reliable service, but we do not guarantee that QuotesFlow will be uninterrupted, error-free, or available at all times.

    We may perform maintenance, updates, upgrades, or emergency fixes that temporarily affect availability.

    We are not responsible for delays or failures caused by factors outside our reasonable control, including internet outages, hosting provider issues, third-party service failures, cyberattacks, natural disasters, labour disruptions, or governmental actions.

    14. Support

    Support options may vary depending on your plan.

    We may provide support by email, chat, help center, or other channels. Unless specifically agreed in writing, we do not guarantee specific response times or resolution times.

    15. Third-Party Services

    QuotesFlow may integrate with or link to third-party services, such as email providers, payment processors, CRM systems, accounting tools, AI providers, cloud hosting platforms, or other applications.

    We are not responsible for third-party services, their availability, security, performance, content, or terms. Your use of third-party services is governed by their own terms and policies.

    16. Privacy

    Our collection, use, and handling of personal information is described in our Privacy Policy.

    By using QuotesFlow, you agree that we may process personal information in accordance with our Privacy Policy and applicable privacy laws.

    17. Confidentiality

    During your use of QuotesFlow, either party may have access to confidential business, technical, pricing, supplier, customer, or operational information.

    Each party agrees to use reasonable care to protect the other party’s confidential information and not to disclose it except as required to provide or use the service, comply with law, or enforce these Terms.

    Customer Data remains your confidential information.

    18. Intellectual Property

    QuotesFlow, including its software, design, interface, workflows, branding, content, logos, features, and underlying technology, is owned by QuotesFlow or its licensors.

    These Terms do not transfer any ownership rights to you.

    You may not copy, modify, distribute, sell, lease, reverse engineer, or create derivative works based on QuotesFlow unless we give written permission.

    19. Feedback

    If you provide suggestions, ideas, comments, or feedback about QuotesFlow, you grant us the right to use that feedback without restriction or compensation.

    This helps us improve the product, roadmap, user experience, and commercial offering.

    20. Data Export and Account Closure

    You may request an export of your Customer Data, subject to technical limitations and your plan.

    After account cancellation or termination, we may delete or anonymize Customer Data after a reasonable period, unless we are legally required or operationally permitted to retain it.

    You are responsible for exporting any data you need before closing your account.

    21. Suspension and Termination

    We may suspend or terminate your access to QuotesFlow if:

    • you breach these Terms;
    • payment is overdue;
    • your use creates security, legal, or operational risk;
    • we are required to do so by law;
    • we discontinue the service or any part of it.

    You may stop using QuotesFlow at any time.

    Sections that by their nature should survive termination will continue to apply, including payment obligations, confidentiality, intellectual property, disclaimers, limitation of liability, indemnification, and governing law.

    22. Disclaimer of Warranties

    QuotesFlow is provided on an “as is” and “as available” basis.

    To the maximum extent permitted by law, we disclaim all warranties, whether express, implied, statutory, or otherwise, including warranties of merchantability, fitness for a particular purpose, non-infringement, availability, accuracy, and reliability.

    We do not guarantee that QuotesFlow will meet your specific business needs, produce specific results, prevent errors, improve margins, increase sales, or eliminate manual work.

    23. Limitation of Liability

    To the maximum extent permitted by law, QuotesFlow will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, including lost profits, lost revenue, lost business opportunities, loss of data, business interruption, or reputational harm.

    Our total liability for any claim related to QuotesFlow or these Terms will not exceed the amount you paid to QuotesFlow in the twelve months before the event giving rise to the claim.

    Some jurisdictions do not allow certain limitations of liability, so some limitations may not apply to you.

    24. Indemnification

    You agree to defend, indemnify, and hold harmless QuotesFlow, its owners, officers, employees, contractors, partners, and affiliates from claims, damages, liabilities, costs, and expenses arising from:

    • your use of QuotesFlow;
    • your Customer Data;
    • your breach of these Terms;
    • your violation of applicable laws;
    • your infringement of third-party rights;
    • your quotes, supplier communications, pricing decisions, or customer transactions.

    25. Changes to the Service

    We may modify, improve, limit, suspend, or discontinue features of QuotesFlow at any time.

    We will try to provide reasonable notice for material changes that significantly affect paid users, but we may make immediate changes when needed for security, legal, operational, or technical reasons.

    26. Changes to These Terms

    We may update these Terms from time to time.

    When we make material changes, we may notify you by email, in-app message, website notice, or other reasonable method.

    Your continued use of QuotesFlow after updated Terms become effective means you accept the updated Terms.

    27. Governing Law

    These Terms are governed by the laws of the Province of Quebec and the applicable laws of Canada, without regard to conflict of law principles.

    Any dispute relating to these Terms or QuotesFlow will be brought before the courts located in the judicial district of Montreal, Quebec, unless applicable law requires otherwise.

    28. Language

    The parties confirm that they have requested that these Terms and all related documents be drafted in English.
